CHINA SCIENCES CONSERVATIONAL POWER LIMITED (Incorporated in Hong Kong with limited liability) (Stock Code: 351) FURTHER DELAY IN DESPATCH OF CIRCULAR IN RELATION TO THE PROPOSED ACQUISITION OF APPROXIMATELY 32.89% EQUITY INTEREST IN BCS GENERAL ENERGY & ENVIRONMENT The Company announces that since the Company and its auditors are in the process of finalizing (i) the audited financial statement of BCS General Energy & Environment for the year ended 31 December 2004 which is pending for, among others, the obtaining of final audit confirmations from certain PRC companies and (ii) the pro forma financial statement of the Enlarged Group and additional time is required to update the Circular with the Transactions, the Company has applied to the Stock Exchange for a waiver from the strict compliance with Rule 14.38 of the Listing Rules by further extending the deadline for the despatch of the Circular to 11 July 2005. Reference is made to the Company's announcements dated 4 March 2005 (the "Announcement"), 24 March 2005 and 15 April 2005 in respect of, among others, the Acquisition and the delay in despatch of circular respectively. Terms used herein shall have the same meanings as those defined in the Announcement unless the context requires otherwise. DELAY IN DESPATCH OF CIRCULAR In accordance with Rule 14.38 of the Listing Rules, a circular of the Company containing further details of the Acquisition and the notice of extraordinary general meeting (the "Circular") has to be despatched to the Shareholders within 21 days after the publication of the Announcement, which was on or before 28 March 2005. The deadline for the despatch of the Circular has been extended to 18 April 2005 and further extended to 30 May 2005. The Company and its auditors are in the process of finalizing (i) the audited financial statement of BCS General Energy & Environment for the year ended 31 December 2004 which is pending for, among others, the obtaining of final audit confirmations from certain PRC companies and (ii) the pro forma financial statement of the Group as enlarged with the inclusion of BCS General Energy & Environment after completion of the Acquisition (the "Enlarged Group") for the purpose of the Circular. In addition, in view of the Company's recent proposed acquisitions of a further 51% equity interest in Dongguan China Sciences Conservational Power Co., Ltd. as detailed in the Company's circular dated 12 May 2005 and 100% interest in Sino Profit International Limited involving the setting up a joint venture in Xingning City, the PRC as detailed in the Company's circular dated 13 May 2005 (the "Transactions"), the Company considers that additional time is required to update the Circular with the Transactions. In view of the aforesaid, the Company has applied to the Stock Exchange for a waiver from the strict compliance with Rule 14.38 of the Listing Rules by further extending the deadline for the despatch of the Circular to 11 July 2005.
