    The Stock Exchange has received a message from Zhong Hua International    
    Holdings Limited which is reproduced as follows:-                         
                                                                              
    "This statement is made at the request of The Stock Exchange of Hong Kong 
    Limited.                                                                  
                                                                              
    The board of directors (the "Directors") of Zhong Hua International       
    Holdings Limited (the "Company") have noted the decreases in the trading  
    price and increases in trading volume of the shares of the Company today  
    and wish to state that they are not aware of any reasons for such         
    fluctuation.                                                              
                                                                              
    The Directors also confirm that there are no negotiations or agreements   
    relating to intended acquisitions or realizations which are discloseable  
    under rule 13.23, save for disclosed in the announcement of the Company   
    dated 27 May, 2005 in relation to possible acquisition of a controlling   
    stake of a cruise liner and exclusive operating rights of shipping lanes, 
    neither are the Directors aware of any matter discloseable under the      
    general obligation imposed by rule 13.09, which is or may be of a price-  
    sensitive nature.

    As at the date of this statement, the Board comprises Messrs. Ho Tsam

    Mo Sheung, Ann who is non-executive Director, and Messrs. Young Kwok Sui,
