    AND DESPATCH OF ANNUAL REPORT,                                            
    FURTHER DELAY IN ANNOUNCEMENT OF FIRST QUARTERLY                          
    RESULTS                                                                   
    AND DESPATCH OF FIRST QUARTERLY REPORT

    FURTHER DELAY IN PUBLICATION OF ANNOUNCEMENT                              
                                                                              
    The Board wishes to inform the Shareholders that there                    
    will be a further delay in the announcement of the                        
    Annual Results and the despatch of the Annual Report.                     
    During the period from 30 April 2005 to 30 May 2005,                      
    the Company has been compiling the information on the                     
    issues and concerns raised in the letter from the                         
    Auditors dated 11 March 2005. As additional time is                       
    required by the New Auditors and the Company to                           
    finalise the information on the Transactions in the                       
    Annual Report and obtain certain material                                 
    confirmations from customers and suppliers of the                         
    Company, the announcement of the Annual Results and                       
    the despatch of the Annual Report have to be delayed.                     
    It is expected the Annual Results will be announced                       
    and the Annual Report will be despatched to the                           
    Shareholders on or before 30 June 2005.                                   
                                                                              
    The delay in the announcement of the Annual Results                       
    and the despatch of the Annual Report constitute                          
    breaches of Rule 18.48A of the GEM Listing Rules. In                      
    this regard, the Stock Exchange has indicated that                        
    it reserves the rights to take appropriate actions                        
    against the Company and/or the Directors.                                 
                                                                              
    The Board wishes to inform the Shareholders that there                    
    will be a further delay in the announcement of the                        
    First Quarterly Results and the despatch of the First                     
    Quarterly Report. As a result of the delay in the                         
    announcement of the Annual Results and the despatch                       
    of the Annual Report, the announcement of the First                       
    Quarterly Results and the despatch of the First                           
    Quarterly Report have to be delayed accordingly. It                       
    is expected the First Quarterly Results will be                           
    announced and the First Quarterly Report will be                          
    despatched to the Shareholders on or before 30 June                       
    2005.                                                                     
                                                                              
    The delay in the announcement of the First Quarterly                      
    Results and the despatch of the First Quarterly Report                    
    constitute breaches of Rule 18.66 of the GEM Listing                      
    Rules. In this regard, the Stock Exchange has                             
    indicated that it reserves the rights to take                             
    appropriate actions against the Company and/or the                        
    Directors.                                                                
                                                                              
    The Board also wishes to inform the Shareholders that                     
    there will be a further delay in publication of the                       
    announcement in relation to the Transactions. The                         
    date of publication of the announcement in relation                       
    to the Transactions is expected to be on or before                        
    30 June 2005.
