    The board (the "Board") of directors (the "Directors") of CATIC           
    International Holdings Limited (the "Company") noted today's increase     
    in price and volume of the shares of the Company and wish to state        
    that, save for a possible open offer to be conducted by an associate of   
    the Company, the Board is not aware of any reasons for such increase.     
                                                                              
    As the open offer may or may not proceed, shareholders of the Company     
    are advised to exercise caution when dealing in the shares of the         
    Company.                                                                  
                                                                              
    The Board noted today's increase in price and volume of the shares of     
    the Company and wish to state that the Board is not aware of any          
    reasons for such increase.                                                
                                                                              
    The Board noted that an associate of the Company proposes to conduct an   
    open offer. So far as the Board is aware of, no formal agreement has      
    been signed in respect to the open offer and the open offer may or may    
    not proceed. The Directors confirm that save for the aforesaid, there     
    are no negotiations or agreements relating to intended acquisitions or    
    realizations which are discloseable under Rule 13.23 of the Rules         
    Governing the Listing of Securities on The Stock Exchange of Hong Kong    
    Limited (the "Listing Rules") neither are the Directors aware of any      
    matter discloseable under the general obligation imposed by Rule 13.09    
    of the Listing Rules, which is or may be of a price-sensitive nature.     
                                                                              
    The Company will make further announcement as required by the Listing     
    Rules in relation to any update on the open offer. As the open offer      
    may or may not proceed, shareholders of the Company are advised to        
    exercise caution when dealing in the shares of the Company.
