    ANNOUNCEMENT                                                              
                                                                              
    This announcement is made at the request of The Stock Exchange            
    of Hong Kong Limited.                                                     
                                                                              
    The board of directors (the "Board") of LifeTec Group Limited             
    (the "Company") has noted the recent increase in the trading              
    volume of the shares of the Company and wish to state that saved          
    as disclosed below and in the announcement dated 28 April 2005,           
    the Board is not aware of any reasons for such increase in trading        
    volume.                                                                   
                                                                              
    Mr. Jay Chun, the chairman and an executive director of the               
    Company, has today disposed of 1,752,000 shares of the Company            
    at the average price of HK$0.0836 per share on the market (the            
    "Disposal"). Before the Disposal, Mr. Jay Chun and August Profit          
    Investments Limited, a company wholly owned by Mr. Jay Chun,              
    together held 386,100,000 shares and 2,500,000 options of the             
    Company, representing approximately 14.51% of the existing                
    issued share capital of the Company. Immediately after the                
    Disposal, Mr. Jay Chun and August Profit Investments Limited              
    together held 384,348,000 shares and 2,500,000 options of the             
    Company, representing approximately 14.45% of the existing                
    issued share capital of the Company.                                      
                                                                              
    Except for the Disposal and saved as disclosed in the                     
    announcement dated 28 April 2005, the Board also confirms that            
    there are no negotiations or agreements relating to intended              
    acquisitions or realisations which are discloseable under rule            
    13.23, neither is the Board aware of any matter discloseable              
    under the general obligation imposed by rule 13.09, which is              
    or may be of a price-sensitive nature.

    As at the date of this announcement, the executive directors              
    of the Company are Mr. Jay Chun (Chairman and Managing Director),         
    Mr. Shan Shiyong, alias, Sin Sai Yung and Dr. Ma Xianming, alias,         
    Ma Yin Ming and the independent non-executive directors are Mr.
