    Mr. Tadayuki Oe, aged 39, is a proposed executive                         
    Director. Mr. Oe is currently the chief executive                         
    officer of SYN Co., Ltd, an investment consulting                         
    company based in Tokyo, Japan. He was the                                 
    international strategy manager in the Asia region and                     
    the general manager of the Taiwan branch of Shin                          
    Takamatsu Architect and Associates Co., Ltd. He                           
    graduated from the Osaka Institute of Technology,                         
    Japan specializing in Engineering in 1989.                                
                                                                              
    Mr. Masashi Ono, aged 25, is a proposed executive                         
    Director. Mr. Ono is currently the business manager                       
    of project planning and development of SYN Co., Ltd..                     
    He graduated from the Kyoto University, Japan in March                    
    2005 specializing in Engineering.                                         
                                                                              
    Mr. Akinobu Kataoka, aged 28, is a proposed executive                     
    Director. Mr. Kataoka graduated from the Sanno                            
    University, Japan in March 1999 specializing in                           
    management informatics. He was an auditor of Ad Magic                     
    Inc., an internet advertising agency, and Workport                        
    Inc., an employment agency, and had served as                             
    department manager of Ethics Inc., a business                             
    consulting company in Japan.                                              
                                                                              
    Ms. Hin Yat Ha, aged 36, is a proposed independent                        
    non-executive Director. Ms. Hin holds a Master of                         
    Science degree in business administration, the                            
    University of Washington, USA and a Bachelor of                           
    Science degree in Civil Engineering, Tongji                               
    University, the PRC. She was the co-founder and vice                      
    president of Shanghai Joint Well Industrial                               
    Development Co., Ltd., a company engaged in civil                         
    engineering and construction business in the PRC and                      
    had served as a business development director of the                      
    PRC region under Hong Kong Hale Engineering Ltd, a                        
    civil engineering company, an account manager of the                      
    Shanghai branch of Hong Kong Mitsubishi Electricity                       
    Ltd and a civil engineer of the Shanghai Institute                        
    of Civil & Industrial Engineering.                                        
                                                                              
    Mr. Wong Yau Po, aged 39, is a proposed independent                       
    non-executive Director. Mr. Wong is founder and                           
    managing director of Wallimax Ltd, a company engaged                      
    in investment and trading of petroleum and plastic                        
    products. Prior to establishing Wallimax Ltd. in 1990,                    
    he had served as the chemical department manager of                       
    LG International (H.K.) Ltd, a trading company based                      
    in Hong Kong, for five years.                                             
                                                                              
    None of the above proposed Directors of the Company                       
    held any directorships in listed public companies in                      
    Hong Kong in the last three years or any positions                        
    with the Company or other members of the Group. None                      
    of the above proposed Directors hold any interests                        
    in the shares or other securities of the Company                          
    within the meaning of Part XV of the SFO as at the                        
    date of this announcement, nor do they have any                           
    relationships with any Directors, chief executives,                       
    senior management, substantial Shareholders, or                           
    controlling Shareholders of the Company. None of the                      
    above proposed Directors hold any interests in the
