    (iii)   do not have any interests in the Shares within the meaning        
    of Part XV of the SFO (save for the indirect beneficial interest          
    of Mr. Ng Chun For Henry through the Offeror);                            
                                                                              
    (iv)    do not have any other matters that need to be brought to          
    the attention of the holders of securities of the Company; and            
                                                                              
    (v)     have no fixed term of service with the Company and will be        
    subject to retirement by rotation and re-election at the                  
    forthcoming annual general meeting of the Company in accordance           
    with the bye-laws of the Company. Mr. Ng Chun For Henry and Mr.           
    Ian Ng will receive nominal emoluments of HK$8,000 per annum              
    and HK$3,800 per annum respectively in connection with their              
    positions as executive Directors.                                         
                                                                              
    The Board would like to take this opportunity to express its              
    gratitude to Mr. Chang Chung Wa, Eddie, Ms. Tang Kit Ching, Venus,        
    Dr. Li Chi Kwong, Prof. Pan Xiao Mei and Mr. Henry Fung for their         
    contribution to the Company during their term of services.                
                                                                              
    CHANGE OF PRINCIPAL PLACE OF BUSINESS                                     
                                                                              
    The Board further announces that the principal place of business          
    of the Company will be changed to 28/F, Henry House, 42 Yun Ping          
    Road, Causeway Bay, Hong Kong, with effect from 21 May 2005.              
                                                                              
    EXISTING DIRECTORS OF THE COMPANY                                         
                                                                              
    As at the date of this announcement, the Board comprises Mr.              
    Ng Chun For Henry, Mr. Ian Ng and Mr. Chan Kwai Ping Albert as            
    executive Directors; Mr. Mak Wah Chi as non-executive Director            
    and Mr. Cheng Yuk Wo, Mr. Ng Hoi Yue and Mr. Tsang Kwok Ming
