    The Offeror intends that the existing business of the Group               
    continues. Save for the proposed appointment of director and              
    general manager as mentioned below, the Offeror has no intention          
    to discontinue the employment of the employees of the Group or to         
    re-deploy the fixed assets of the Group other than those in its           
    ordinary course of business.                                              
                                                                              
    Upon the increase of the shareholding of the Offeror in the Company       
    to 20% as condition precedent, the Offeror will nominate one more         
    representative to be appointed as a Director, in addition to the          
    one representative that it currently has on the Board. The Offeror        
    will also nominate a candidate to be appointed by the Board as the        
    general manager of the Company. Any appointment to the Board will         
    require the approval of the shareholders of the Company in general        
    meeting.                                                                  
                                                                              
    The Company and the Offeror have commenced discussions on the             
    establishment of a joint venture in the engine business. The              
    Company and the Offeror have also commenced discussions on the            
    establishment of a joint venture in the sales business.                   
                                                                              
    INFORMATION ON THE COMPANY                                                
                                                                              
    The Company and its group are engaged in the manufacture and sale         
    of light-duty trucks, multi-purposes vehicles, pick-up trucks,            
    heavy duty trucks, other vehicles and automobile parts and                
    accessories. The Company manufactures light duty trucks and               
    commercial vehicles using the Offeror's technology and designs            
    under the Offeror's brand name. The Company is incorporated in the        
    PRC and its principal office is at 1 Xiexing Cun, Zhongliangshan,         
    Jiulongpo District, Chongqing, PRC. Its H Shares are listed on the        
    Hong Kong Stock Exchange.
