    Ningbo Yidong Electronic Industry Company Limited ("Yidong Electronic"),  
    a limited liability company established in the PRC on 3 August 2000       
    with an intial registered capital of RMB5,000,000.                        
                                                                              
    In May 2002, Yidong Electronic increased its                              
    registered capital from RMB5,000,000 to RMB15,000,000.                    
                                                                              
    Since 18 September 2002, Yidong Electronic as a limited                   
    company established in the PRC, has been converted into                   
    Ningbo Yidong Electronic Company Limited (the "Company") as a joint       
    stock limited company in the PRC in accordance with the Company Law       
     with a registered capital of RMB37,000,000 divided into                  
    37,000,000 Domestic Shares of RMB1.00 each.
