    the Independent Shareholders and the Optionholder on                      
    10th May, 2005.                                                           
                                                                              
    The Independent Shareholders and the Optionholder are                     
    encouraged to read the Composite Document carefully,                      
    including the letter of recommendations from the                          
    Independent Board Committee and the letter of advice                      
    from Somerley to the Independent Board Committee,
