BALTRANS HOLDINGS LIMITED (Incorporated in Bermuda with limited liability) (Stock Code : 562) (the "Company") Approval of disposal of 90% interests in Fond Express Logistics Limited and Fondair Express (HK) Limited The shareholders of the Company approved the disposal of 90% interests in Fond Express Logistics Limited and Fondair Express (HK) Limited at the special general meeting held on 9th May, 2005. The board of directors of the Company announces that the shareholders of the Company passed an ordinary resolution approving the disposal of 90% interests in Fond Express Logistics Limited and Fondair Express (HK) Limited (the "Resolution") by poll at the special general meeting held on 9th May, 2005 (the "SGM"). The Company appointed Abacus Share Registrars Limited (the branch share registrar of the Company) as scrutineer for the vote taking at the SGM. At the SGM, there were : 1. a total of 301,500,500 shares entitling the holders to attend the meeting and vote for or against the Resolution; and 2. a total of 222,940,100 shares voted for the Resolution and no share voted against the Resolution. There was no share entitling the holder to attend the SGM and vote only against the Resolution pursuant to the Listing Rules. As at the date of this announcement, the executive directors of the Company comprise Mr. Lau Siu Wing Anthony and Mr. Ng Hooi Chong; non-executive directors comprise Mr. Peter James Holland Riley, Mr. William Hugh Purton Bird, Mr. Christopher John David Clarke and Mr. Wai Chung Hung David; and independent non-executive directors comprise Mr. Yu Hon To David, Ms. Lau Kin Yee Miriam and Mr. Ng Cheung Shing.
