    Remarks:                                                                  
                                                                              
    1. Group reorganization and basis of preparation of the accounts          
    The Company was incorporated in the Cayman Islands on 21 January 2003     
    as an exempted company with limited liability under the Companies Law,    
    Cap.22 (Law 3 of 1961, as consolidated and revised) of the Cayman         
    Islands.                                                                  
                                                                              
    Pursuant to a group reorganization completed on 30 January 2004           
    (the "Reorganization") in preparation for the listing of the Company's    
    share on GEM, the Company became the holding company of the               
    subsidiaries. Details of the Reorganization were set out in the           
    prospectus issued by the Company dated 5 February 2004 (the               
    "Prospectus").The shares of the Company (the "Shares") were listed on     
    GEM on 17 February 2004 (the "Listing Date").                             
                                                                              
    The unaudited consolidated results have been prepared on the basis        
    of merger accounting as if the current group structure has been in        
    existence since 1 January 2004, except for the acquisition of additional  
    interests in Sanming Municipality Century Sunshine Agricultural           
    Technological Development Company Limited* ("Sanming") in October         
    2004, which has been accounted for using acquisition accounting.          
    The principal accounting policies adopted by the Group in arriving        
    at the financial information set out in this report conform with          
    accounting principles generally accepted in Hong Kong.
