GUO XIN GROUP LIMITED (Incorporated in Bermuda with limited liability) (Stock Code: 1215) MAJOR TRANSACTION ACQUISITIONS OF PROPERTIES IN BEIJING EXTENSION OF TIME FOR THE DESPATCH OF CIRCULAR Further to the announcement of the Company dated 15 April 2005, the Company has applied for an extension on the despatch date of the Circular. The despatch date of the Circular will be delayed from 9 May 2005 to on or before 30 May 2005. Terms defined in this announcement shall have the same meanings as those defined in the announcement (the "Announcement") of Guo Xin Group Limited (the "Company") dated 15 April 2005 unless the context requires otherwise. Under Rule 14.38 of the Listing Rules, the Company is required to send a circular (the "Circular") regarding the Acquisitions which constitute a major transaction of the Company under the Listing Rules, within 21 days after the publication of the Announcement, that is, 9 May 2005. The Board wishes to announce that given that additional time is required to compile relevant financial information regarding statement of indebtedness, the proforma assets and liabilities statement of the Group to be incorporated into the Circular, the Company has applied for an extension on the despatch date of the Circular. The despatch date of the Circular will be delayed from 9 May 2005 to on or before 30 May 2005. As at the date of this announcement, the Board consists of Mr. Zhang Yang and Mr. Lam Cheung Shing, Richard (both being executive Directors), and Mr. Tam Sun Wing, Mr. Ko Ming Tung, Edward and Mr. Ng Ge Bun (all being independent non-executive Directors).
