    CHANGE OF COMPANY NAME

    The Board is pleased to announce that with effect from 15 March 2005,     
    the name of the Company was changed to "Prosperity Investment Holdings    
    Limited" and the Chinese name was changed to ""*"" and the stock short    
    name of its Shares will be changed to prosp inv hold in English and       
    "*"in Chinese with effect from 9 May 2005.                                
                                                                              
    Reference is made to the announcement of GR Investment International      
    Limited (the "Company") dated 7 February 2005 (the "Announcement") and    
    the circular of the Company dated 18 February 2005 (the "Circular") in    
    relation to, among other things, the proposed change of company name.     
    Terms used herein shall have the same meanings as those defined in the    
    Announcement and the Circular.                                            
                                                                              
    The Board is pleased to announce that the special resolution for the      
    change of name of the Company from "GR Investment International Limited"  
    to "Prosperity Investment Holdings Limited" was duly passed by the        
    Shareholders at the Special General Meeting held on 15 March 2005. The    
    Registrar of Companies in Bermuda entered the new name of the Company on  
    the register in place of the existing name on 15 March 2005, thus the     
    change of name of the Company became effective on 15 March 2005 and the   
    Chinese name was changed from ""*"". The Company also received (i) the    
    Certificate of Incorporation on Change of Name issued by the Registrar    
    of Companies in Bermuda on 16 March 2005 and (ii) the Certificate of      
    Registration of Change of Name of Oversea Company issued by the           
    Registrar of Companies in Hong Kong on 14 April 2005.                     
                                                                              
    The stock short name of the Shares traded on the Stock Exchange will      
    also be changed in English from "GR INV INT'L" to "prosp inv hold" and    
    in Chinese from ""*"" with effect from 9 May 2005.                        
                                                                              
    As stated in the Announcement and the Circular, all existing share        
    certificates bearing the name "GR Investment International Limited" will  
    continue to be evidence of title to the Shares under the Company's new    
    name and will be valid for trading, settlement and registration purposes  
    and the rights of the Shareholders will not be affected as a result of    
    the change of company name. New share certificates will be issued under   
    the new name "Prosperity Investment Holdings Limited" commencing from 9   
    May 2005. The change of name of the Company will not affect any rights    
    of the Shareholders. There will not be any free exchange of existing      
    share certificates for new share certificates under the new name.
