    DESPATCH OF THE OFFER DOCUMENT                                            
                                                                              
    The Offeror wishes to announce that the Offer Document containing         
    terms and details of the Offers, together with the Forms of               
    Acceptance, has been despatched to the Independent Shareholders           
    and the Optionholders on 22 April 2005.                                   
                                                                              
    The latest time for acceptance of the Offers is 4:00 p.m. on              
    Friday, 20 May 2005. The Offers, which are unconditional, will            
    close on Friday, 20 May 2005 unless the Offeror revises or extends        
    the Offers in accordance with the Takeovers Code. An announcement         
    on the result of the Offers will be posted on the website of              
    the Stock Exchange by 7:00 p.m. on Friday, 20 May 2005. Such              
    announcement will be published in the newspapers on Monday, 23            
    May 2005.                                                                 
                                                                              
    Pursuant to the Takeovers Code, the Company is required to                
    despatch to the Independent Shareholders and the Optionholders            
    the response document (the "Response Document") in respect of             
    the Offers within 14 days after posting of the Offer Document.            
    Independent Shareholders and Optionholders are strongly advised           
    to read the Response Document, in particular, the recommendation          
    of the independent board committee of the Company and the advice          
    of the independent financial adviser, Tai Fook Capital Limited,           
    to such independent board committee, before deciding whether              
    or not to accept the Offers.                                              
                                                                              
    The Offeror intends to maintain the listing of the Shares on              
    the Stock Exchange. The Offeror has undertaken and the new                
    Directors to be nominated by the Offeror to the Board will                
    undertake to the Stock Exchange to take appropriate steps as              
    soon as possible following the close of the Offers to ensure              
    that not less than 25% of the Shares will be held by the public.
