    DELAY IN DESPATCH OF CIRCULAR IN RELATION TO                              
    THE SUBSCRIPTION OF NEW SHARES BY CONNECTED PERSONS                       
                                                                              
                                                                              
    The Company has applied to the Stock Exchange for an extension of the     
    deadline for despatch of the Circular from 21 April 2005 to on or before  
     6 May 2005.                                                              
                                                                              
    Reference is made to the announcement (the "Announcement") of the         
    Company dated 1 April 2005. Terms used herein have the same meanings as   
    defined in the Announcement unless otherwise stated.                      
                                                                              
    Pursuant to Rule 14.38 of the Listing Rules, the Company is required to   
    despatch a circular (the "Circular") in relation to, among other things,  
     further information on the Subscription, the recommendation of the       
    Independent Board Committee, the letter of advice from the independent    
    financial adviser on the fairness and reasonableness of the terms and     
    conditions of the Subscription and the notice of EGM to the Shareholders  
     within 21 days after the publication of the Announcement i.e. on or      
    before 21 April 2005. In finalizing its letter of advice to the           
    Independent Board Committee for inclusion in the Circular, the            
    independent financial adviser took the view that it had to review the     
    net asset value of the Company as at 31 December 2004 in order to         
    determine the fairness and reasonableness of the terms and conditions of  
     the Subscription. As the Company will despatch its annual report for     
    the year ended 31 December 2004 to its Shareholders in accordance with    
    the requirements as set out in the Listing Rules, which is expected to    
    be on or before 30 April 2005, the letter of advice from the independent  
     financial adviser can only be finalized after 30 April 2005. Based on    
    the foregoing, the Company has applied to the Stock Exchange for an       
    extension of the deadline for despatch of the Circular from 21 April      
    2005 to on or before 6 May 2005.
