    DELAY IN DESPATCH OF THE CIRCULAR                                         
                                                                              
                                                                              
    The Company announces that as additional time is required to              
    ascertain certain financial information of the Group under Rule           
    14.66(2) of the Listing Rules, including the statement of                 
    indebtedness and the sufficiency of working capital of the Group, for     
    incorporation into the Circular, the Company has applied to the Stock     
    Exchange for a waiver from strict compliance with the requirement         
    under Rule 14.38 of the Listing Rules and the extension of time for       
    despatch of the Circular to the Shareholders to on or before 13 May       
    2005.                                                                     
                                                                              
    INTRODUCTION                                                              
                                                                              
    Reference is made to the announcement of Sunny Global Holdings            
    Limited (the `Company') dated 31 March 2005 (the `Announcement') in       
    respect of a major transaction regarding the Disposal. Terms used         
    herein shall have the same meanings as defined in the Announcement        
    unless the context otherwise requires.                                    
                                                                              
    DELAY IN DESPATCH OF THE CIRCULAR                                         
                                                                              
    Pursuant to Rule 14.38 of the Listing Rules, the Company is required      
    to despatch the circular in respect of the Disposal (the `Circular')      
    to the Shareholders within 21 days after publication of the               
    Announcement, that is, on or before 21 April 2005. However, as            
    additional time is required to ascertain certain financial                
    information of the Group under Rule 14.66(2) of the Listing Rules,        
    including the statement of indebtedness and the sufficiency of            
    working capital of the Group, for incorporation into the Circular,        
    the Company has applied to the Stock Exchange for a waiver from           
    strict compliance with the requirement under Rule 14.38 of the            
    Listing Rules and the extension of time for despatch of the Circular
