Two of its shareholders hold over 10% of the total issued share capital of CEC with the largest shareholder holding approximately 13.42% of the total issued share capital. The directors of CEC are Mr. Peter Jeva Au, Mr. Thomas Greer, Mr. Peter Lo, Mr. Louis Moelchert Jr., Mr. Martin Murbach and Mr. Michael Sonnenfeldt. Further details of the Offeror will be included in the Composite Offer Document. Save in respect of the Sale and Purchase Agreement, immediately before Completion, neither the Offeror nor its beneficial owners have any financial or other business connection with the Vendors and their respective concert parties. Immediately after Completion, the sole business activity of the Offeror is investment holding and it owns 150,000,000 Shares, representing 75% of the issued share capital of the Company. The Offeror proposes to continue the existing business of the Company but will regularly review its current business activities and assets. As at the date of this announcement, the Offeror does not intend to make any changes to the existing business of the Company. It proposes to seek additional manufacturing opportunities and identify suitable new investment opportunities to further develop the Company, although no specific targets have been identified and no negotiations have been entered into. The Offeror confirms that it will procure that, following the close of the Offer, any asset injections or disposals will be implemented in accordance with all applicable laws, regulations and relevant provisions of the Listing Rules. DIRECTORS AND MANAGEMENT It is intended that all the existing executive and non-executive Directors will resign at the earliest time permitted under the Takeovers Code and the Listing Rules. The Offeror intends to appoint new directors to the Board at the earliest time permitted under the Takeovers Code. Further announcement(s) will be made upon such appointments in due course. Any appointments of new Directors by the Offeror will be in full compliance with the requirements of the Takeovers Code and the Listing Rules. The biographical details of the proposed new directors are set out below: Executive directors * Peter LO is a director of China Enterprise Capital Limited. He was the chief executive officer and executive director of Harbin Brewery Group Limited (formerly listed on the Main Board of the Stock Exchange with stock code 249). At present, he is a non-executive director of Harbin Brewery as well as a consultant to Anheuser Busch International. He held senior management positions in the Hong Kong offices of several international companies and has more than 15 years' experience in doing business in the PRC. Mr. Lo received a Bachelor of Science (Economics) Degree in Mathematical Economics and Econometrics from the London School of Economics and Political Science in 1982. Mr. Lo has received the "Directors of the Year 2004" (Hong Kong Institute of Directors) award. Mr. Lo is a member of the People's Consultative Conference of Harbin City. * CHAU Wai-Kau held various management positions in public sector and private businesses. He has a first degree in economics and a postgraduate qualification in accounting and finance from the London School of Economics; a master degree, University of Hong Kong. He has been active with charities and social activities. For the year 2005/06, he is an elected member of the Executive Committee of Lok Sin Tong Benevolent Society, Kowloon. * Derek Emory Ting-Lap YEUNG is the chief executive officer and co-founder of She Communications Limited, the leading Hong Kong based women's lifestyle communications company.
