    FURTHER DELAY IN DESPATCH OF CIRCULAR IN RELATION TO                      
    (1) POSSIBLE VERY SUBSTANTIAL ACQUISITION INVOLVING                       
    CONDITIONAL ACQUISITION OF THE ENTIRE ISSUED SHARE                        
    CAPITAL OF GUOHUA INTERNATIONAL INVESTMENT LIMITED                        
    AND                                                                       
    (2) THE PROPOSED PLACING                                                  
                                                                              
    The Company has applied to the Stock Exchange for a                       
    further extension of the deadline for despatch of the                     
    Circular from 18 April 2005 to 9 May 2005.                                
                                                                              
    Reference is made to the Company's announcements                          
    dated 7 March 2005 and 24 March 2005 respectively.                        
    Terms used herein have the same meanings as defined                       
    in such announcements unless otherwise stated.                            
                                                                              
    As stated in the announcement of the Company dated                        
    24 March 2005, the Circular would be despatched on                        
    or before 18 April 2005. As additional time is                            
    required for the preparation of and audit for the                         
    financial statements of the Guohua Group for                              
    inclusion in the Circular, the Company has applied                        
    to the Stock Exchange for a further extension of the                      
    deadline for the despatch of the Circular from 18                         
    April 2005 to 9 May 2005.
