    1.      Share of Profits and Losses of Jointly-controlled Entities        
                                                                              
    More than 90% of the Group's share of results of its jointly-controlled   
    entities was derived from TCL Communication Technology Holdings Limited   
    ("TCL Communication") and its subsidiaries (together "TCL Communication   
    Group"), a group mainly engaged in the design, development, manufacturing 
    and marketing of mobile handsets.                                         
                                                                              
    The Company distributed a special dividend satisfied by distribution in   
    specie of shares in TCL Communication ("Communication Shares") held by the
    Company on the basis of 40 Communication Shares for every 100 shares of   
    HK$0.10 each in the capital of the Company (the "Distribution") to        
    shareholders whose names appeared in the register of members of the       
    Company on 23 September 2004.                                             
                                                                              
    On 27 September 2004, TCL Communication Shares were listed on the main    
    board of the Stock Exchange by way of introduction. The result of TCL     
    Communication was shared by the Group up to 23 September 2004 before the  
    Distribution. For further details of the results and financial position of
