    COMPLETION OF FIRST TRANCHE SUBSCRIPTION                                  
                                                                              
    All conditions of the First Tranche Subscription under the Subscription   
    Agreement were fulfilled on 31 March 2005. In accordance with the         
    Subscription Agreement, completion of the First Tranche Subscription
