    The Stock Exchange has received a message from Goldlion Holdings Limited  
    which is reproduced as follows:-                                          
                                                                              
    "This statement is made at the request of The Stock Exchange of Hong Kong 
    Limited.                                                                  
                                                                              
    The Board of Directors has noted today's increases in the price and       
    trading volume of the shares of the Company and wishes to state that we   
    are not aware of any reasons for such increases.                          
                                                                              
    Saved as those matters disclosed in our announcements dated 6th April 2005
    regarding results announcement for the year ended 31st December 2004 and  
    the appointment of chief executive officer of the Company respectively,   
    we confirm that there are no negotiations or agreements relating to       
    intended acquisitions or realisations which are discloseable under        
    Rule 13.23 of the Listing Rules, neither is the Board aware of any matter 
    discloseable under the general obligation imposed by Rule 13.09 of the    
    Listing Rules, which is or may be of a price sensitive nature.

    As at the date of this announcement, the directors of the Company comprise
    Dr. Tsang Hin Chi, Mr. Tsang Chi Ming, Ricky and Madam Wong Lei Kuan as   
    executive directors; Mr. Ng Ming Wah, Charles as non-executive director;  
    and Dr. Wong Yu Hong, Philip, Dr. Lau Yue Sun and Mr. Wong Ying Ho,
