    A circular containing, among other things, the details of the             
    terms of each of the Master Agreements and the transactions               
    contemplated thereunder, a letter of recommendation from the              
    Independent Board Committee to the Independent Shareholders,              
    a letter of advice by the independent financial adviser to the            
    Independent Board Committee and the Independent Shareholders,             
    and a notice of the SGM, will be despatched to the Shareholders           
    as soon as practicable in accordance with the Listing Rules.              
                                                                              
    The Board proposes to seek the approval of each of the Master             
    Agreements and the transactions contemplated thereunder by the            
    Independent Shareholders at the SGM (by way of poll). Each of             
    CTFE and Mr. Lo and their respective associates will abstain              
    from voting on the resolution in relation to each of the Master           
    Agreements and the transactions contemplated thereunder at the
