    The 598,700,000 shares issued (taking into account the Company's shares   
    consolidation on 26 July 2004) by the Company to acquire Top Tactic Group 
    as set out in basis of preparation are deemed to be in issue on 1 January 
    2003 for the purpose of computing earnings per share under reverse        
    acquisition of the Company.
