    DELAY IN DESPATCH OF CIRCULAR                                             
    The despatch of the Circular will be delayed from 1 April 2005 to no      
    later than 8 April 2005 pending the finalisation of certain information   
    in relation to the business of the Borrower to be included into the       
    letter of advice from the independent financial adviser.                  
                                                                              
    Reference is made to the announcement dated 10 March 2005 published by    
    the Company in relation to the proposed major and connected transactions  
    (the "Announcement"). Terms used herein shall have same respective        
    meanings as those defined in the Announcement unless the context          
    requires otherwise.                                                       
                                                                              
    Pursuant to Rules 14.38 and 14A.49 of the Listing Rules, the Company is   
    required to despatch a circular (the "Circular") containing, among        
    others, details of the Loan Agreement, the Guarantee and the Option       
    Deed, a letter of recommendation from the Independent Board Committee to  
    the Independent Shareholders, a letter of advice from the independent     
    financial adviser to the Independent Board Committee and the Independent  
    Shareholders and a notice of the SGM to the Shareholders within 21 days   
    after the publication of the Announcement, that is, on or before 1 April  
    2005. As additional time is required to finalise certain information in   
    relation to the business of the Borrower to be included into the letter   
    of advice from the independent financial adviser, the Company has         
    applied to the Stock Exchange for a waiver from the strict compliance     
    with Rules 14.38 and 14A.49 of the Listing Rules for an extension of the  
    date of despatch of the Circular from 1 April 2005 to no later than 8
