    a director of any listed company. Mr. Chan has no                         
    interests in the shares of the Company within the                         
    meaning of Part XV of the Securities and Futures                          
    Ordinance (Chapter 571 of the Laws of Hong Kong) and                      
    he does not have any relationship with any directors,                     
    senior management, management shareholders or                             
    substantial shareholders of the Company. Mr. Chan                         
    does not hold any other positions in the Company or                       
    any of its subsidiaries, other than the

    The Board has appointed Mr. Lee Sing Kai, Albert ("Mr.                    
    Lee"), an executive director and Authorized                               
    Representative of the Company as the Compliance                           
    Officer with effect from 1st April, 2005.                                 
                                                                              
    The Directors confirm that there are no other matters                     
    in relation to Mr. Chan's or Mr. Lee's appointment                        
    or the resignation of Mr. So that need to be brought
