    The proforma financial information has been prepared under the            
    historical cost convention and in accordance with the principal           
    accounting policies which conform with the International Financial        
    Reporting Standards ("IFRS") published by the International Accounting    
    Standard Board ("IASB") and the disclosure requirements of the Hong       
    Kong Companies Ordinance and the Rules Governing the Listing of           
    Securities on the GEM of the Stock Exchange (the "GEM Listing Rules"),    
    except for the Group Reorganisation took place after the balance sheet    
    date has been accounted for using merger accounting.
