    The Company was incorporated on 24th May, 2001 as an exempted             
    company with limited liability in the Cayman Islands under the            
    Companies Law of the Cayman Islands.                                      
                                                                              
    The Company is an investment holding company.  Its subsidiaries           
    are principally engaged in the provision of financial services            
    including the provision of a trading platform, brokerage and              
    securities margin financing business, and infrastructure broking          
    services comprising trading, clearing and settlement.                     
                                                                              
    The financial statements have been prepared in accordance with Hong       
    Kong Financial Reporting Standards (which also include Statements         
    of Standard Accounting Practice and Interpretations) issued by the        
    Hong Kong Institute of Certified Public Accountants ("HKICPA"),           
    accounting principles generally accepted in Hong Kong, the                
    disclosure requirements of the Hong Kong Companies Ordinance and          
    the applicable disclosure provisions of the GEM Listing Rules of          
    the Stock Exchange.  The financial statements have been prepared          
    under the historical cost convention.
