    MAJOR AND CONNECTED TRANSACTIONS                                          
    DELAY DESPATCH OF THE CIRCULAR                                            
                                                                              
    Reference is made to the Announcement in relation to                      
    major and connected transactions of the Company. The                      
    Company has applied to the Stock Exchange for a waiver                    
    for the delay despatch of the Circular. The Directors                     
    expect that the Circular will be despatched on or                         
    before 31st March, 2005.                                                  
                                                                              
    Reference is made to the announcement of the Company                      
    dated 23rd February, 2005 ("Announcement") in                             
    relation to major and connected transactions of the                       
    Company for the proposed acquisition of 70% equity                        
    interest in Yunnan Shangeli-La Winery Co., Ltd. and                       
    25% equity interest in Shangeli-La (Qinhuangdao)                          
    Winery Ltd. Terms used herein shall have the same                         
    meanings as ascribed in the Announcement unless the                       
    context otherwise requires.                                               
                                                                              
    Pursuant to Rule 14.38 of the Listing Rules, a circular                   
    ("Circular") containing information in relation to                        
    the Acquisitions is required to be despatched to the                      
    Shareholders within 21 days after publication of the                      
    Announcement which is on or before 17th March, 2005.                      
    However, since all the members of the First Target                        
    Group are PRC incorporated companies, additional time                     
    is required to collate and finalise the financial                         
    information of the First Target Group to be included                      
    in the Circular. The Company has therefore applied                        
    to the Stock Exchange for a waiver for the delay                          
    despatch of the Circular. The Directors expect that                       
    the Circular will be despatched on or before 31st March,                  
    2005.                                                                     
                                                                              
    As at the date of this announcement, the Executive                        
    Directors are Fu Kwan, Wu Xiang Dong, Shu Shi Ping,                       
    Chan Yeuk, Zhang Jian; the non-executive Director is                      
    Hung Kin Sang, Raymond and the independent                                
    non-executive Directors are Cao Kuangyu, E Meng, Ting
