    1.      Uni-Tech is wholly owned by 21CN Corporation. 21CN                
    Corporation is owned as to 95% by Pollon Internet                         
    Corporation, which is wholly owned by Ms. Chen Xiao                       
    Ying, the Chairman of the Company.                                        
                                                                              
    2.      CITIC Group is the beneficial substantial                         
    shareholder of Road Shine, Goldreward.com and Perfect                     
    Deed.                                                                     
                                                                              
    Certificates and Dealings                                                 
    It is expected that certificates in respect of the                        
    fully-paid Warrants and refund cheques in respect of                      
    wholly or partially unsuccessful applications for                         
    excess Warrants will be despatched by ordinary post                       
    to those entitled thereto at their own risk by the                        
    Hong Kong branch share registrar of the Company on                        
    Friday, 18 March 2005. Dealings in the fully-paid                         
    Warrants on the Stock Exchange are expected to
