    not limited to legal, financial and other business                        
    running respect of Golden Crown and Beijing Aleznova;                     
                                                                              
    2.      the Purchaser does not discover any material breach               
    of the representation, warranty and undertaking given                     
    by the Vendor in the Agreement during performance of                      
    the due diligence exercise;                                               
                                                                              
    3.      the board of directors and shareholders meetings                  
    of Golden Crown approving the Acquisition;                                
                                                                              
    4.      the Purchaser having received a legal opinion in                  
    relation to the transaction issued by a qualified PRC                     
    law firm relating to legal and business due diligence                     
    of Beijing Aleznova which the Purchaser considers                         
    satisfactory.                                                             
                                                                              
    In the event of the Vendor's default and the Agreement                    
    is terminated before Completion, the Purchaser is                         
    entitled to require the Vendor to return the deposit                      
    paid and to compensate all costs and expenses incurred                    
    and loss suffered arising out of the Agreement.                           
                                                                              
    INFORMATION ON GOLDEN CROWN AND BEIJING ALEZNOVA                          
    Golden Crown is an investment holding company                             
    incorporated on 12 November 2003, its sole assets                         
    being the ownership of all issued and paid up capital                     
    in Beijing Aleznova. Beijing Aleznova is principally                      
    engaged in sale, research and development of new                          
    bio-chemical pharmaceutical products in the PRC as                        
    well as performing synthetic technological process                        
    studies. At present, all the production of Beijing                        
    Aleznova's pharmaceutical products are subcontracted                      
    to outsider. The principal activity of the Vendor is                      
    investment holding, its sole assets being the                             
    ownership of shares in Golden Crown. Mr. Li Zhe, the                      
    sole shareholder of the Vendor, is a brother of Mr.                       
    Li Jing, who holds 80% of the total issued share                          
    capital of Golden Crown.                                                  
                                                                              
    Beijing Aleznova is a PRC corporation established in                      
    2004 which is recognized as a high-tech company by                        
    Scientific Commission of Beijing Municipality and a                       
    participant to pilot projects launched by Beijing                         
    Patent's Affaires Bureau. Beijing Aleznova has a wide                     
    range of products mainly comprising NC1205, *                             
    (Montelukast Sodium), * (Iornoxicam),                                     
    * (Faropenem), * (Endostatin), *                                          
     (4AA). The range of therapeutic treatment                                
    in its portfolio mainly includes anti-infective,                          
    cardiovascular, digestive, and respiratory. Beijing                       
    Aleznova is an Independent Third Party. The present                       
    status of Beijing Aleznova's major products are set
