Group Reorganisation and basis of preparation China Power International Development Limited (the "Company") was incorporated in Hong Kong on 24 March 2004 as a limited liability company under the Hong Kong Companies Ordinance. Pursuant to a group reorganisation, which was completed on 1 September 2004 (the "Reorganisation"), in the preparation for the listing of the Company's shares on the Main Board of The Stock Exchange of Hong Kong Limited (the "Stock Exchange"), the Company became the holding company of the companies now comprising the Group. The Company's shares were listed on the Stock Exchange on 15 October 2004. The Reorganisation involved companies under common control, and the Company and its subsidiaries resulting from the Reorganisation are regarded as a continuing group. Accordingly, the consolidated accounts of the Group for the year ended 31 December 2004 have been prepared using the merger basis of accounting as if the Company had been the holding company of the Group from the beginning of the earliest period presented. As the Company was only incorporated on 24 March 2004, there are no comparative figures in the Company's balance sheet as at 31 December 2003. The accounts have been prepared in accordance with accounting principles generally accepted in Hong Kong and comply with Hong Kong Financial Reporting Standards issued by the Hong Kong Institute of Certified Public Accountants ("HKICPA"). They have been prepared under the historical cost convention except that certain property, plant and equipment are stated at revalued amount less subsequent accumulated depreciation and accumulated impairment losses. 2. Impact of recently issued Hong Kong Financial Reporting Standards The HKICPA has issued a number of new and revised Hong Kong Financial Reporting Standards and Hong Kong Accounting Standards ("new HKFRSs") which are effective for accounting periods beginning on or after 1 January 2005. The Group has not early adopted these new HKFRSs in the accounts for the year ended 31 December 2004. The Group has already commenced an assessment of the impact of these new HKFRSs but is not yet in a position to state whether these new HKFRSs would have a significant impact on its results of operations and financial position.
