    The Company has applied to the Stock Exchange for a                       
    waiver from strict compliance with Rule 14.38 of the                      
    Listing Rules as to allow additional time to prepare                      
    certain information to the Stock Exchange upon its                        
    request and an announcement is made on 21 February,                       
    2005 to extend the time for the despatch of the                           
    Circular as soon as clearance is obtained from the                        
    Stock Exchange and in any event, not later than 8 March,                  
    2005.                                                                     
                                                                              
    The Company wishes to announce that the despatch of                       
    the Circular will be further postponed as the Company                     
    requires additional time to provide certain                               
    information to the Stock Exchange upon its request                        
    clarifying the background of the negotiation of the                       
    2nd Disposal.                                                             
                                                                              
    The Company has applied to the Stock Exchange for a                       
    waiver from strict compliance with Rule 14.38 of the                      
    Listing Rules to extend the date of despatch of the                       
    Circular as soon as clearance is obtained from the                        
    Stock Exchange. The waiver may or may not be granted                      
    by the Stock Exchange. It is expected that the                            
    Circular will be despatched to the shareholders of                        
    the Company as soon as clearance is obtained from the                     
    Stock Exchange and in any event, no later than 31 March,                  
    2005.                                                                     
                                                                              
    Further announcement will be made to clarify the                          
    information stated in the Announcement as soon as                         
    clearance is obtained from the Stock Exchange.                            
                                                                              
    As at the date of this announcement, the executive                        
    directors of the Company are Mr. Fung Ka Pun and Dato'                    
    Wong Sin Just, and the independent non-executive                          
    directors of the Company are Mr. Roberto V Ongpin,                        
    Mr. Chung Cho Yee, Mico, Dr. Hui Ka Wah, Ronnie and
