    It was also stated in the Joint Announcement that the Composite           
    Offer Document and the Circular will be despatched on the same date.      
    However, the Composite Offer Document and the Circular cannot be          
    despatched on or before 7 March 2005 since more time is needed to         
    finalise the Composite Offer Document and the Circular. It is             
    expected that the pro forma assets and liabilities statement for          
    inclusion in both the Composite Offer Document and the Circular           
    will be completed in no more than ten days, the IFA letter to be          
    included in the Composite Offer Document will be completed in no          
    more than two weeks, and the working capital and indebtedness             
    statements to be included in both the Composite Offer Document and        
    the Circular will be completed in no more than two weeks. The             
    Composite Offer Document and the Circular will be despatched as           
    soon as possible and in any event no later than 21 March 2005. An         
    announcement will be made upon the despatch of the Composite Offer        
    Document and the Circular.                                                
                                                                              
    As at the date of this announcement, the executive directors of           
    CCT Telecom are Mr. Mak Shiu Tong, Clement, Mr. Tam Ngai Hung, Terry,     
    Ms. Cheng Yuk Ching, Flora and Dr. William Donald Putt and the            
    independent non-executive directors of CCT Telecom are Mr. Samuel         
    Olenick, Mr. Tam King Ching, Kenny and Mr. Lau Ho Man, Edward.
