    The board of directors (the "Board") of the Company                       
    has noted recent increase in the price and trading                        
    volume of the shares of the Company and wishes to state                   
    that it is not aware of any reasons for such change.                      
                                                                              
    The Board also confirms that apart from the proposed                      
    subscription of new shares and possible mandatory                         
    unconditional cash offer (the "Proposal") announced                       
    on 23rd February, 2005, there are no negotiations or                      
    agreements relating to intended acquisitions or                           
    realisations or further amendments to the Proposal                        
    which are discloseable under Chapters 19 to 20 of the                     
    Rules Governing the Listing of Securities on the                          
    Growth Enterprise Market of The Stock Exchange of Hong                    
    Kong Limited (the "GEM Listing Rules"), neither is                        
    it aware of any matter discloseable under the general                     
    obligation imposed by Rule 17.10 of the GEM Listing                       
    Rules, which is or may be of a price-sensitive nature.
