    Detailed terms of the supplemental agreements will                        
    be disclosed in the Circular.                                             
                                                                              
    Delay in despatch of the Circular                                         
    Further to the discussions between the Company and                        
    CCIF CPA Limited, both parties expect the audit work                      
    of the Beijing Haidian Group for the three years ended                    
    31 December 2004 to be completed around early April                       
    2005. In view of the aforementioned and in addition,                      
    other information to be prepared and set out in the                       
    Circular (including but not limited to the                                
    indebtedness and working capital statements), the                         
    Directors consider appropriate to extend the despatch                     
    date of the Circular to on or before 30 April 2005                        
    to allow sufficient time to prepare such information.                     
    As a result, the Company has applied to the Stock                         
    Exchange for a waiver from strict compliance with                         
    Rules 14.38 and 14.40 of the Listing Rules so that                        
    the despatch of the Circular will be postponed to on                      
    or before 30 April 2005.                                                  
                                                                              
    As at the date of this announcement, the executive                        
    Directors are Mr. Hon Kwok Lung, Mr. Wang Shaolan,                        
    Mr. Shang Jian Guang, Mr. Shi Tao and Mr. Lam Toi Man;                    
    the non-executive Director is Ms. Sit Lai Hei; and                        
    the independent non-executive Directors are Mr. Fung                      
    Tze Wa, Dr. Kwong Chun Wai, Michael and Mr. Li Qiang.
