New World TMT Limited (incorporated in the Cayman Islands with limited liability) (Stock Code: 301) TERMINATION OF AGREEMENT The Board announces that the Agreement dated 20 January 2005 entered into between the Vendor (a wholly owned subsidiary of the Company) and the Purchaser (an independent third party) regarding the disposal of the Vendor's entire interests in Living Colours Limited has been terminated. Reference is made to the announcement of the Company dated 20 January 2005 (the "Announcement") and the circular of the Company dated 3 February 2005 in respect of the Agreement. Terms used herein shall have the same meanings as those defined in the Announcement unless the context requires otherwise. Pursuant to the Agreement, the total consideration should be paid by the Purchaser to the Vendor within 14 Business Days from the date of the Agreement. The Agreement has been terminated as the Purchaser failed to fulfill such obligation under the Agreement. The Board is of the view that such termination would not have any material financial impact on the Company. As at the date of this announcement, the Board comprises (i) three executive directors, namely Dr Cheng Kar-Shun, Henry, Mr Wong Chi-Chiu, Albert and Dr Wai Fung-Man, Norman; (ii) four non-executive directors, namely Mr Wilfried Ernst Kaffenberger (alternate director to Mr Wilfried Ernst Kaffenberger: Mr Yeung Kun-Wah, David), Mr Fu Sze-Shing, Mr Lee Sean, Sammy and Mr Lai Hing-Chiu, Dominic; and (iii) three independent non-executive directors, namely Dr Lam Man-Kit, Dominic, The Honourable Shek Lai-Him, Abraham and Mr Kong Chi-How, Johnson.
