The following diagram illustrates the relationship between the Company and HK Island: CTF 100% 35.33% United Goal Resources Limited Go Create Limited NWD Group 50% 50% 100% Real Reward HK Island 72.29% Company 100% Sogo HK THE LEASE Date: 24 February 2005 Landlord: HK Island Tenant: Sogo HK Premises: Portion of Ground Floor, Portion of Podium 1 and the entire Podium 2 of The Amazon, No. 12 Salisbury Road, Tsimshatsui, Kowloon, Hong Kong Term: 15 years commencing from the Lease Commencement Date Lease Commencement Date: 15 September 2005 or the date of Sogo HK's commencement of business at the Premises, whichever is earlier, or such other date as may be agreed between Sogo HK and HK Island Rent-free Period: From the later of 15 April 2005 or the date of satisfaction of the condition precedent of the Lease (or such other date as the parties may agree) to the Lease Commencement Date (both dates inclusive). During the rent-free period, Sogo HK shall pay the Air-conditioning Charges and Management Fees at 70% of the normal rate, Government rates and other moneys and outgoings as a result of its occupation of the Premises Licence Period for Portion of Podium 1: Subject to vacant possession of Portion of Podium 1 of the Premises being delivered by the existing users on or before 14 March 2005, a licence period in respect of the whole of the Portion of Podium 1 (excluding Shop P120 at Podium 1) from the later of 15 March 2005 or the date of satisfaction of the condition precedent of the Lease (or such other date as the parties may agree) to the date immediately preceding the commencement of the rent-free period (inclusive) shall be granted to Sogo HK for its carrying out of fitting out works. Sogo HK shall during the licence period pay (a) Government rates on a pro-rata basis; (b) the Air-conditioning Charges and Management Fees of HK$250,827 per month; and (c) other outgoings Option to Renew: Sogo HK has an option to renew the tenancy for a further period of five years immediately after the expiry of the term at the rate of rent payable for the 11th to the 15th year of the term set out below and on the same terms and conditions of the Lease (but without a further option to renew) Rental: A turnover rent shall be payable by Sogo HK on a monthly basis in arrears at the rate of 6% for the 1st to the 10th years of the term and 7% for the 11th to the 15th years of the term of all sales generated and/or received from the business carried on at the Premises Air-conditioning Charges and Management Fees: Sogo HK shall pay on monthly basis air-conditioning charges and management fees at the rate of HK$862,305 per month. Extra air-conditioning charges for additional hours will be payable by Sogo HK monthly at the rate of HK$4,598.86 per hour.
