09:50 MACROLINK INT'L<00472>-Announcement&Resumption of Trading-6 INFORMATION ON THE BEIJING VENDOR, THE MALAYSIA VENDOR, THE FIRST TARGET COMPANY AND THE SECOND TARGET COMPANY The Beijing Vendor The Beijing Vendor is a company established under the laws of the PRC and principally engaged in the trading, merchandising and selling of white wine in the PRC. As at the date of this announcement, the Beijing Vendor is owned (i) as to 90% by Macro-Link Holdings and (ii) as to 10% by Hai Da Company, an associate of Fu Kwan, a Director. Macro-Link Holdings is owned (i) as to approximately 41% by Fu Kwan, a Director; (ii) as to approximately 20% by Wu Xiang Dong, a Director; (iii) as to approximately 1.6% by Chan Yeuk, a Director; (iv) as to approximately 1% by Wang Xiao Ming, an ex-Director; and (v) as to the balance by four individuals who are, apart from the fact that they are shareholders of Macro-Link Holdings, Independent Third Parties. Macro-Link Holdings, Hai Da Company and Han Long have agreed to enter into the Beijing Vendor Disposal Agreement pursuant to which Macro-Link Holdings and Hai Da Company will dispose an aggregate of 80% equity interest in the Beijing Vendor to Han Long (or its nominee). Upon completion of the Beijing Vendor Disposal Agreement, the Beijing Vendor will be owned as to 80% by Han Long (or its nominee) and as to 20% by Macro-Link Holdings. Completion of the Beijing Vendor Disposal Agreement is a condition precedent to the First Completion. To the best of the Directors' knowledge, information and belief having made all reasonable enquiry, Han Long and its ultimate beneficial owner do not have any shareholding in the Company and are independent of the Company and its connected persons, the shareholders and beneficial owners of the First Target Company, the Malaysia Vendor, Macro-Link Holdings and Hai Da and their respective associates. The Malaysia Vendor The Malaysia Vendor is a company incorporated in Malaysia and principally engaged in trading of industrial products and consumer goods, property investment and development and the manufacture and sale of chemical and ceramic products in the PRC. The Malaysia Vendor, through its wholly-owned subsidiary, Macro-Link International, is interested in approximately 74.99% of the entire issued share capital in the Company. The Malaysia Vendor is owned (i) as to approximately 40% by Fu Kwan, a Director (ii) as to approximately 15% by Wu Xiang Dong, a Director and (iii) as to the balance by five individuals who are, apart from the fact that they are shareholders of the Malaysia Vendor, Independent Third Parties. The First Target Company The First Target Group is principally engaged in the manufacturing and sale of grape wine and Tibetan naked barley wine in the PRC. The First Target Company is owned (i) as to approximately 91% by the Beijing Vendor; (ii) as to approximately 5.21% by Wu Xiang Dong, a Director; (iii) as to approximately 0.35% by Shu Shi Ping, a Director; and (iv) as to the balance by three individuals who are Independent Third Parties. The Beijing Vendor and Mr. Jiang Jian, an Independent Third Party, have agreed to enter into the First Target Company Disposal Agreement pursuant to which the Beijing Vendor will sell 21% equity interest in the First Target Company to Mr. Jiang Jian. Completion of the First Target Company Disposal Agreement is a condition precedent to the First Completion. Upon completion of the First Target Company Disposal Agreement and the First Completion, the First Target Company will be owned (i) as to 70% by the Company; (ii) as to 6.80% by Wu Xiang Dong, a Director; (iii) as to 0.35% by Shu Shi Ping, a Director; and (iv) as to the balance by three individuals who are Independent Third Parties. To the best of the Directors' knowledge, information and belief having made all reasonable enquiry, Mr. Jiang Jian does not have any shareholding in the Company and is independent of the Company and its connected persons, the shareholders and beneficial owners of the First Target Company, the Malaysia Vendor, Hai Da and Macro-Link Holdings and their respective associates.
