    Since the Joint Venture Agreement was negotiated and signed in the PRC    
    and the subsequent intervening of the Chinese New Year holidays, the      
    Company is of the view that this announcement was already prepared and    
    issued as soon as practicable. The Stock Exchange has stated that it      
    reserves the right to take appropriate action against the Company and     
    the Directors on the basis that issue of this announcement is untimely.
