Hang Huo Hotel Company Limited ("Hang Huo Hotel (HK)") is a company incorporated in Hong Kong with limited liability and acts as a representative office leasing from an independent third party a shop in Shun Tak Centre, 168 - 200 Connaught Road Central, Hong Kong to provide reception and promotional services for Hotel Casa Real which is the principal business of Hang Huo Hotel (HK). The Consideration remains unchanged at HK$1,250,000,000, subject to adjustment as disclosed in the Announcement. As at the date of this announcement, HK$125,000,000 out of the Consideration of HK$1,250,000,000 has been paid by Next Champion as deposit. Conditions Completion of the Acquisition is conditional upon: (a) the receipt by Next Champion of the Macau legal opinion in relation to the Acquisition; (b) (where required as a result of a change in law in Macau after the Formal Sale and Purchase Agreement) all necessary consents, approvals and authorisations having been obtained from all relevant governmental and regulatory authorities in Macau in connection with the SJM Agreement (unconditionally or subject to conditions that Next Champion shall not unreasonably object) to the intent that the Casa Real Casino can be operated in accordance with the SJM Agreement which shall not become invalid or ineffective as a result of Completion and the transactions contemplated under the Formal Sale and Purchase Agreement and all the conditions and requirements as the relevant authorities shall stipulate in relation to the SJM Agreement having been duly complied with; (c) the termination of the existing leases in Hotel Casa Real and the new leases having been entered into between Hang Huo Hotel and the relevant existing tenants; (d) the receipt by Next Champion of the relevant licenses in relation to Hotel Casa Real which shall continue to be valid, effective and not being revoked as at Completion; (e) the passing of the necessary resolution(s) by the shareholders of the Company in general meeting approving the Formal Sale and Purchase Agreement and the transactions contemplated thereunder and the allotment and issue of the Consideration Shares in accordance with the bye-laws of the Company and the requirements of the Listing Rules; and (f) the listing committee of the Stock Exchange granting or agreeing to grant the listing of, and
