    DELAY IN DESPATCH OF CIRCULAR                                             
                                                                              
    The Company announces that the despatch of the Circular will be           
    postponed to or before 14 March 2005 since additional time is required    
    to compile and finalize the proforma financial information of the         
    enlarged Group to be included in the Circular. The Company has applied    
    to the Stock Exchange for a waiver from the strict compliance with Rule   
    14.38 of the Listing Rules by extending the deadline for the despatch of  
     the Circular to 14 March 2005.                                           
                                                                              
    Reference is made to the Company's announcement dated 21 January 2005     
    (the "Announcement") in respect of, among others, the Acquisition and     
    the Memorandum. Terms used herein shall have the same meanings as those   
    defined in the Announcement unless the context requires otherwise.        
                                                                              
    DELAY IN DESPATCH OF CIRCULAR                                             
                                                                              
    In accordance with Rule 14.38 of the Listing Rules, a circular of the     
    Company containing, among other things, further details of the            
    Acquisition and the Memorandum, and the notice of EGM (the "Circular")    
    has to be despatched to the Shareholders within 21 days after the         
    publication of the Announcement, which is on or before 14 February 2005.  
    Since the publication of the Announcement, the Company has been working   
    closely with other professionals to prepare the proforma financial        
    information of the enlarged Group and to ascertain the necessary          
    information, including but not limited to obtaining third parties'        
    confirmations, for the purpose of preparing the Circular. Since           
    additional time is required to compile and finalize the proforma          
    financial information of the enlarged Group to be included in the         
    Circular, the Company has applied to the Stock Exchange for a waiver      
    from the strict compliance with Rule 14.38 of the Listing Rules by        
    extending the deadline for the despatch of the Circular to 14 March
