CHAMPION TECHNOLOGY HOLDINGS LIMITED (Continued in Bermuda with limited liability) (the "Company") (Stock Code: 92) ANNOUNCEMENT 232,182,661 units of New Warrants will be issued under the Bonus Issue which will be exercisable during the period from the date of issue on 17 February 2005 until 16 February 2006. Reference is made to the circular of the Company dated 10 November 2004 (the "Circular") in relation to the proposed bonus issue of new warrants. Capitalised terms used herein shall have the same meanings as defined in the Circular. As mentioned in the Circular, the number of shares of the Company issuable on exercise of all the subscription rights under the New Warrants will be equal to 20% of the issued share capital of the Company on 8 February 2005, less the number of Shares issuable under the outstanding CSFB Subscription Rights on 8 February 2005. As at 8 February 2005, the Company has 1,215,070,408 issued Shares and 10,831,420 Shares are issuable under the outstanding CSFB Subscription Rights. Accordingly, subject to the Listing Committee of the Stock Exchange granting listings of and permission to deal in the New Warrants and the Shares that fall to be issued on the exercise of the subscription rights thereunder, 232,182,661 units of New Warrants will be issued on 17 February 2005 under the Bonus Issue on the basis of approximately 1 unit of New Warrant for every 5.16137 shares of the Company held by the shareholders of the Company on the register of members on 26 November 2004 on terms and conditions as set out in the Circular. The New Warrants will be exercisable from 17 February 2005 until 16 February 2006. No shareholder shall be entitled to be issued any fraction of a New Warrant. Fractional entitlements to New Warrants will not be issued but will be aggregated and the resulting New Warrants sold for the benefit of the Company as soon as practicable after dealings of New Warrants on the Stock Exchange commence.
