    ANNOUNCEMENT                                                              
                                                                              
    The board of directors of Gorient (Holdings) Limited wishes to inform     
    the shareholders of the Company that the announcement regarding a         
    notifiable discloseable transaction has been delayed.                     
                                                                              
    The board of directors of Gorient (Holdings) Limited (the "Company")      
    wishes to inform the shareholders of the Company that the Company had     
    entered into an agreement relating to a possible investment in a joint    
    venture with an independent third party (the "Agreement") on 24 January   
    2005 which would constitute a discloseable transaction of the Company     
    under the Rules Governing the Listing of Securities on The Stock          
    Exchange of Hong Kong Limited ("Listing Rules").                          
    As further negotiations are being held with regards to the terms of the   
    Agreement which will change the nature of the investment under the        
    Agreement, the announcement containing full details of the Agreement      
    has been delayed pending those negotiations.                              
                                                                              
    Negotiations on the revised investment structure is expected to be        
    finalised on or before Friday 4 February 2005. The Company will execute   
    a further agreement reflecting the outcome of the negotiations (the       
    "Amended Agreement") and will disclose the details of the Amended         
    Agreement in accordance with the Listing Rules as soon as practicable.    
                                                                              
    At the request of the Company, trading in the Company's shares was        
    suspended from 9:30 a.m. on 24 January 2005 and will remain suspended     
    until release of the Announcement regarding the transaction under the
