    CHANGE OF COMPANY NAME                                                    
                                                                              
    The Board is pleased to announce that the Company has changed its name    
    from "Central China Enterprises Limited" to "China Sciences               
    Conservational Power Limited" with effect from 28 January 2005. Trading   
    of the Shares on the Main Broad under the new English stock short name    
    of "CS CONSERVAT P" and the new Chinese stock short name of will take     
    effect on 8 February 2005.                                                
                                                                              
    Reference is made to the announcements of the Company dated 1 December    
    2004 and 14 January 2005 and the circular of the Company dated 22         
    December 2004 (the "Circular") with respect to the change of company      
    name. Terms used herein shall have the same meanings as those defined in  
     the Circular.                                                            
                                                                              
    The Board is pleased to announce that the Registrar of Companies in Hong  
     Kong issued the Certificate of Change of Name dated 28 January 2005 to   
    the Company evidencing its change of name from "Central China             
    Enterprises Limited" to "China Sciences Conservational Power Limited"     
    with effect on the same day. Trading of the Shares on the Main Board of   
    The Stock Exchange of Hong Kong Limited ("Main Board") under the new      
    English stock short name of "CS CONSERVAT P" and new Chinese stock short  
     name of will take effect on 8 February 2005.                             
                                                                              
    The change of the Company's name will not affect any rights of the        
    Shareholders. All existing share certificates bearing the former name of  
     "Central China Enterprises Limited" shall continue to be effective as    
    documents of title to the Shares of HK$0.01 each in the capital of the    
    Company and to be valid for trading, settlement and registration          
    purposes. With effect from 8 February 2005, new share certificates will   
    be issued in the new name of the Company. Shareholders should note that   
    there will not be any free exchange of share certificates bearing the     
    former name of "Central China Enterprises Limited" for share              
    certificates under the new name of "China Sciences Conservational Power   
    Limited". Share certificates of the Company will be accepted for          
    exchange only on payment by the Shareholders at the Company's share       
    registrar, Secretaries Limited at Ground Floor, Bank of East Asia         
    Harbour View Centre, 56 Gloucester Road, Wanchai, Hong Kong of a fee of   
    HK$2.50 (subject to change as allowed by the Stock Exchange from time to
