    share capital being held by a discretionary trust of                      
    which Mr. Wang Kin Chung, Peter and Ms. Wang Koo Yik                      
    Chun, who are the Directors, are eligible                                 
    beneficiaries; and                                                        
                                                                              
    "Tenancy Agreement"   the tenancy agreement dated
