    SETTLEMENT OF LEGAL PROCEEDINGS AGAINST                                   
    BRIDGE INVESTMENT HOLDING LIMITED                                         
                                                                              
                                                                              
    The Directors understand that BIH reached an agreement with the           
    Claimants on 20 January 2005 (UK time) to settle the legal                
    proceedings brought by the Claimants against BIH at a sum of US$2.8       
    million (approximately HK$21,784,000).                                    
                                                                              
                                                                              
    This announcement is made pursuant to Rule 13.09 of The Rules             
    Governing the Listing of Securities on The Stock Exchange of Hong         
    Kong Limited.                                                             
                                                                              
    The Directors (the `Board' or the `Directors') of Regent Pacific          
    Group Limited (the `Company') refer to the legal proceedings brought      
    against Bridge Investment Holding Limited (`BIH', a 40.2% owned           
    associate of the Company) by its former directors, Peter Everington       
    and Romi Williamson (collectively the `Claimants'), for termination       
    of their employment contracts with BIH, which were last updated in        
    the Company's interim report for the six-month period ended 30            
    September 2003.                                                           
                                                                              
    The Directors understand that BIH reached an agreement with the           
    Claimants on 20 January 2005 (UK time) to settle the legal                
    proceedings, pursuant to which BIH has agreed to pay a sum of US$2.8      
    million (approximately HK$21,784,000) to the Claimants in full and        
    final settlement of the legal proceedings. The Company's attributable     
    share of the total settlement amount is approximately US$1,125,600
