Unless otherwise defined in this announcement, terms defined in the prospectus of the Company dated 18 January 2005 (the "Prospectus") have the same meanings when used in this announcement. 3CEMS Corporation (Incorporated in the Cayman Islands with limited liability) (Stock code: 453) ANNOUNCEMENT SUMMARY * The Company and DBS Asia (for itself and on behalf of the Underwriters) have agreed that, the Share Offer announced on 18 January 2005 will not proceed and will lapse. * All application monies received by the Company pursuant to the Public Offer, together with related brokerage, SFC transaction levy, investor compensation levy and the Stock Exchange trading fee, will be refunded, without interest. On 21 January 2005, the Company and DBS Asia (for itself and on behalf of the Underwriters) entered into a price determination agreement. Subsequent to entering into that agreement, the Company decided not to proceed with the Share Offer at the price stated in that agreement. DBS Asia (for itself and on behalf of the Underwriters) consented and therefore the Share Offer will not proceed and will lapse. Refund of application monies All application monies received by the Company pursuant to the Public Offer, together with related brokerage, SFC transaction levy, investor compensation levy and the Stock Exchange trading fee, will be refunded, without interest. (i) Applicants using WHITE or YELLOW Application Forms: If you have applied for fewer than 1,000,000 Public Offer Shares, then your refund cheque(s) will be sent to the address on your Application Form on 26 January 2005 by ordinary post and at your own risk. If you have applied for 1,000,000 Public Offer Shares or more, whether or not you have indicated in your Application Form that you wish to collect refund cheque(s) in person, you may collect your refund cheque(s) from Tricor Investor Services Limited, at Ground Floor, Bank of East Asia Harbour View Centre, 56 Gloucester Road, Wanchai, Hong Kong from 9:00 a.m. to 1:00 p.m. on 26 January 2005.
