    The aggregate rentals and management fees payable by COFCO                
    International (Beijing) for the whole tenancy period is                   
    RMB4,299,700.00 (or about HK$4,056,321.00). The rentals and               
    management fees are payable on the first day after each six months        
    period commencing on 1st January, 2004 and are exclusive of other         
    public utilities charges.

      Management Fees:      RMB1,202,529.00 for the whole tenancy period      
                                                                              
    The aggregate rentals and management fees payable by COFCO Wines          
    Company for the whole tenancy period is RMB1,202,529.00 (or about         
    HK$1,134,461.00). The rentals and management fees are payable             
    on the first day after each six months period commencing on 1st           
    January, 2004 and are exclusive of other public utilities charges.        
                                                                              
    SUPPLEMENTAL AGREEMENTS                                                   
                                                                              
    1.      Supplemental Agreement dated 19th January, 2005                   
    ("Supplemental Agreement 1") between COFCO Plaza Company and              
    COFCO International (Beijing) to revise certain terms of                  
    Agreement 1 to the effect that:-                                          
                                                                              
    (i)     the period of tenancy will be extended until 31st December,       
    2005;                                                                     
                                                                              
    (ii)    the gross floor area of the Premises rented has been              
    increased from about 1,229.82 square metres to about 1,598.49             
    square metres with effect from 1st October, 2004;                         
                                                                              
    (iii)   accordingly, the aggregate rentals and management fees            
    payable to COFCO Plaza Company for the period from 1st January,           
    2004 to 31st December, 2004 has been adjusted from                        
    RMB4,299,700.00 (or about HK$4,056,321.00) to RMB4,825,254.38             
    (or about HK$4,552,127.00). The additional rentals and                    
    management fees amounting to RMB525,554.38 (or about                      
    HK$495,807.00) will be paid in the first quarter of 2005 as the           
    rentals and management fees for the use of additional 368.67              
    square metres during the period from 1st October, 2004 to 31st            
    December, 2004;
