    MAJOR TRANSACTION                                                         
    DELAY DESPATCH OF THE CIRCULAR                                            
                                                                              
    Reference is made to the Announcement in relation to a major              
    transaction of the Company. The Company has applied to the Stock          
    Exchange for a waiver for the delay despatch of the Circular.             
    The Directors expect that the Circular will be despatched on              
    or before 23rd February, 2005.                                            
                                                                              
    Reference is made to the announcement of the Company dated 29th           
    December, 2004 ("Announcement") in relation to a major                    
    transaction of the Company for the purchase of the Steppington            
    Financial Group. Terms used herein shall have the same meanings           
    as ascribed in the Announcement unless the context otherwise              
    requires.                                                                 
                                                                              
    Pursuant to Rule 14.38 of the Listing Rules, a circular                   
    ("Circular") containing information in relation to a major                
    transaction involving the purchase of the Steppington                     
    Financial Group is required to be despatched to the                       
    Shareholders within 21 days after the publication of the                  
    Announcement. However, additional time is required to finalise            
    the accountants' report of the Steppington Financial Group                
    which is to be included in the Circular, the Company has applied          
    to the Stock Exchange for a waiver for the delay despatch of              
    the Circular. The Directors expect that the Circular will be              
    despatched on or before 23rd February, 2005.                              
                                                                              
    As at the date of this announcement, the executive Directors              
    are Mr. Hung Hon Man (Chairman), Mr. Cham Wai Ho, Anthony, Mr.            
    Shum Kin Wai, Frankie, Mr. Wong Sheung Kwong and Mr. Cheng Wai            
    Ho. The independent non-executive Directors are Mr. Liu Chun              
    Ning, Wilfred, Mr. Lin Zhi Hang and Mr. Chung Wai Keung.
